Job Description

Special Counsel is recruiting a Paralegal/Contracts Administrator for a Chicago Corporation.  The Paralegal will assist attorneys and legal team members in all aspects of the contract, compliance and intellectual property lifecycle; corporate filings and entity maintenance.

  • Maintain and review all documents for counsel by logging, indexing and organizing large volumes of documents;

  • Create and draft documents, presentations, letters, outlines, papers and other documents as requested;

  • Oversee the organization of documents and data in electronic databases;

  • Perform legal research for attorneys using a variety of research tools.

  • Assist in regular filings, resolutions and other corporate entity matters under supervision;

  • Draft, review, and revise contracts and other legal documents under legal supervision;

  • Maintain corporate record books;

  • Maintain and manage trademark database and open matters

  • Perform responsible, specialized and confidential legal assignments and research for the legal team

  • Schedule appointments, gives information to callers, takes dictation, and otherwise relieves attorneys of clerical and administrative work and business detail.

  • Qualifications:

  • Exceptional analytical, problem solving and research skills

  • Sophisticated written and verbal communication skills for executive-level internal and external delivery

  • Creative thinking and the ability to operationalize innovation

  • Ability to deal with complex issues and migrate between detail and high level requirements

  • Ability to work in a high-pressured environment on ambiguous projects

  • An understanding of business dynamics and strategic challenges ?

  • A commitment to excellence; a drive and commitment to exceed expectations

  • Undergraduate degree; Paralegal certificate preferred;

  • 3-5+ years of experience as a Corporate Paralegal in a Corporation;

  • Experience drafting and review template and standard agreements;

  • Experience working with corporate documents such as articles of incorporation, bylaws, minutes, stock certificates, resolutions, etc.

  • Comfortable reviewing, creating and updating processes and standards within a legal team;

  • Be familiar and highly adept in the use of computers and software packages (Word, Excel and PowerPoint)
